1. Introduction and Acceptance
Welcome to Wellspring. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and The Wellspring App Ltd ("we", "us", "our", or "Wellspring"), a company registered in the United Kingdom.
By creating an account, downloading, installing, or using the Wellspring mobile application and related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
These Terms apply to all users of the Service, including employees who access the Service through their employer's corporate wellness programme.
2. Eligibility
To use the Service, you must:
- Be at least 16 years of age
- Have the legal capacity to enter into a binding agreement
- Have a valid company code provided by your employer (for corporate wellness features)
- Not have been previously suspended or removed from the Service
By using the Service, you represent and warrant that you meet all eligibility requirements.
3. Account Registration and Security
3.1 Account Creation
To access the Service, you must create an account by providing accurate and complete information, including your name, email address, and your employer's company code. You agree to keep your account information up to date.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately at support@thewellspringapp.com if you suspect unauthorised access to your account
We are not liable for any loss or damage arising from your failure to maintain the security of your account.
3.3 One Account Per User
Each user may maintain only one account. You may not create multiple accounts, share your account with others, or transfer your account to another person.
4. Description of Service
Wellspring is a corporate wellness platform that enables employees to track and improve their wellbeing across three pillars:
4.1 Body (Physical Wellness)
- Track physical activities (running, cycling, walking, swimming, gym workouts, team sports, and more)
- GPS-based route tracking and mapping
- Integration with Apple HealthKit (iOS) and Health Connect (Android) to sync health data
- Personalised fitness plans and progress tracking
4.2 Mind (Mental Wellness)
- Guided breathing exercises with audio coaching
- Focus sessions (Pomodoro technique)
- Meditation tracking
- Daily wellness questions and reflections
4.3 Spirit (Emotional Wellness)
- Gratitude journaling
- Mood tracking
- Personal reflections and goal setting
- Thrive sessions for personal development
4.4 Social and Community Features
- Company-wide and departmental challenges
- Team creation and collaboration
- Clubs and community groups
- Community feed with posts, comments, and reactions
- Events with RSVP functionality
- Leaderboards and rankings
- Achievements, badges, and experience points (XP)
5. User Content
5.1 Your Content
You retain ownership of any content you submit, post, or display through the Service ("User Content"), including but not limited to:
- Community and club posts (text and images)
- Comments and reactions
- Journal entries and reflections
- Profile information and photos
- Activity notes and descriptions
5.2 Licence to User Content
By submitting User Content to the Service, you grant Wellspring a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, adapt, and display your User Content solely for the purpose of operating, providing, and improving the Service. This licence ends when you delete your User Content or your account, except where your content has been shared with others and they have not deleted it, or where we are required to retain it for legal purposes.
5.3 Content Restrictions
You agree not to post, upload, or share any content that:
- Is unlawful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Infringes any intellectual property rights of any third party
- Contains viruses, malware, or other harmful code
- Is spam, unsolicited advertising, or promotional material
- Impersonates any person or entity
- Contains personal, private, or confidential information of another person without their consent
- Is sexually explicit or pornographic
- Promotes violence, discrimination, or hatred
- Violates any applicable law or regulation
- Undermines the wellbeing-focused purpose of the Service
5.4 Content Moderation
We reserve the right, but are not obligated, to:
- Review, monitor, or remove User Content at our discretion
- Investigate reports of content that violates these Terms
- Suspend or terminate accounts that repeatedly violate these Terms
- Take appropriate action against users who submit false or malicious reports
Users may report content they believe violates these Terms using the in-app reporting feature. We will review reports and take appropriate action, which may include removing content, warning users, or suspending accounts.
6. Health and Wellness Disclaimer
6.1 Not Medical Advice
The Service is not a medical device and does not provide medical advice, diagnosis, or treatment. The wellness tracking features, fitness plans, breathing exercises, and other content available through the Service are for general informational and wellness purposes only.
6.2 Consult a Professional
You should always consult a qualified healthcare professional before:
- Starting any new exercise programme or fitness plan
- Making changes to your diet or wellness routine
- Relying on any health or wellness data provided by the Service
6.3 Physical Activity Risk
You acknowledge that physical activity carries inherent risks, including the risk of injury or death. You participate in any physical activities tracked or suggested by the Service at your own risk. Wellspring is not responsible for any injuries, health complications, or other harm resulting from your use of the Service.
6.4 Accuracy of Data
While we strive to provide accurate wellness tracking, we do not guarantee the accuracy of:
- Calorie calculations
- Distance measurements
- GPS tracking and route data
- Health data synced from Apple HealthKit or Health Connect
- Any statistics, scores, or metrics derived from your activity data
7. Health Data Integrations
7.1 Apple HealthKit (iOS)
If you choose to connect Apple HealthKit:
- You grant us read-only permission to access health data as described in our Privacy Policy
- We do not write data back to HealthKit
- We comply with Apple's HealthKit guidelines and restrictions
- HealthKit data will not be used for advertising or marketing purposes
- HealthKit data will not be sold to third parties
- You may disconnect HealthKit at any time through the app or device settings
7.2 Health Connect (Android)
If you choose to connect Health Connect:
- You grant us permission to read health data as described in our Privacy Policy
- We comply with Google's Health Connect guidelines
- Health Connect data will not be used for advertising or marketing purposes
- You may disconnect Health Connect at any time through the app or device settings
8. Employer Relationship
8.1 Corporate Wellness Programme
Wellspring is a business-to-business (B2B) service provided to your employer, who in turn makes the Service available to you as part of their corporate wellness programme. Your employer pays for and manages access to the Service. Your employer may:
- Provide you with a company code to access the Service
- Create company-wide challenges and events
- Access wellness engagement data (see Section 8.2)
- Designate administrators to manage the wellness programme
- Control the number of available account seats
- Deactivate your access if you leave the organisation or the programme ends
8.2 Employer Data Access
Your employer's designated administrators may have visibility of your activity participation data, including your name, activities completed, distances logged, challenge progress, and engagement metrics (e.g., XP, levels, achievements). They may also see your Thrive session data, including goals, goal tracking, and question responses within Thrive—employers can set up Thrive sessions and view this 1-1 data.
Your employer receives aggregated, anonymised data only for mood tracking and daily wellness question responses—they cannot see your individual responses to these.
Your gratitude journal entries are private and are not visible to your employer.
This visibility model may change in the future; we will update these Terms and our Privacy Policy if it does.
By using the Service, you acknowledge that your activity data may be visible to your employer's administrators and, where applicable, to colleagues via leaderboards and challenge standings.
8.3 Employment Relationship
Your use of the Service is voluntary. Your participation (or non-participation) in the wellness programme should not affect your employment status, performance reviews, or any other aspect of your employment relationship. Wellspring is not a party to your employment contract and has no control over your employer's policies.
9. Challenges, Leaderboards, and Rewards
9.1 Challenges
Challenges are optional wellness activities organised at the company, departmental, or team level. By joining a challenge, you agree that:
- Your activity data relevant to the challenge will be visible to other challenge participants
- Your name and progress may appear on challenge leaderboards
- Challenge rules and scoring are determined by the challenge organiser
9.2 Leaderboards
Leaderboard rankings are based on data recorded within the Service. We do not guarantee the accuracy of rankings and reserve the right to adjust scores or rankings if we detect errors or misuse.
9.3 Rewards
Any rewards or prizes associated with challenges are provided by your employer or challenge organisers, not by Wellspring. We are not responsible for the fulfilment, quality, or availability of any rewards.
10. Intellectual Property
10.1 Our Intellectual Property
The Service, including its design, features, functionality, code, graphics, logos, trademarks, and all related intellectual property, is owned by The Wellspring App Ltd and is protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose in accordance with these Terms.
10.2 Restrictions
You may not:
- Copy, modify, or distribute the Service or any part thereof
- Reverse engineer, decompile, or disassemble the Service
- Remove or alter any proprietary notices or labels
- Use the Service for any purpose other than its intended use
- Attempt to gain unauthorised access to any part of the Service
- Use automated tools, bots, or scrapers to access the Service
- Sublicence, lease, or rent the Service to any third party
11. Acceptable Use
You agree to use the Service in accordance with these Terms and all applicable laws. You may not:
- Use the Service for any unlawful purpose
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorised access to other users' accounts
- Submit false, misleading, or fraudulent activity data
- Manipulate leaderboards, challenges, or rankings through dishonest means
- Harass, bully, or intimidate other users
- Use the Service to collect personal information about other users without their consent
- Upload or transmit viruses, malware, or other harmful code
- Use the Service in any way that could damage, disable, or impair our servers or networks
12. Account Management, Data Deletion, and Termination
12.1 Account Ownership
Your Wellspring account is provisioned as part of your employer's corporate wellness programme. Account access is managed by your employer and is tied to their subscription with Wellspring. You do not have the ability to independently delete your account, as the account seat belongs to your employer's programme.
12.2 Your Right to Data Deletion
Although you cannot delete your account directly, you have the right to request deletion of your personal data at any time. You may do so by:
- Using the "Request Data Deletion" feature within the app settings
- Contacting us at support@thewellspringapp.com
Upon a valid data deletion request, we will delete or anonymise your personal data within 30 days in accordance with our Privacy Policy. Your contributions to aggregated company statistics will be anonymised. Following data deletion, your account will remain as an inactive seat within your employer's programme but will contain no personal data.
12.3 Stopping Use
You may stop using the Service at any time by simply ceasing to use the app. If you wish to have your personal data removed, please submit a data deletion request as described above.
12.4 Termination by Us
We may suspend or terminate your access to the Service, with or without notice, if:
- You violate these Terms
- Your employer's subscription or agreement with Wellspring ends
- We are required to do so by law
- We discontinue the Service or any part thereof
12.5 Termination of Employer Agreement
When your employer's agreement with Wellspring ends, all employee accounts under that organisation will be deactivated. Personal data will be deleted or anonymised within 30 days, unless otherwise agreed with your employer or required by law.
12.6 Effect of Termination
Upon termination:
- Your licence to use the Service immediately ceases
- You must stop using the Service and delete the app from your devices
- We will handle your data in accordance with our Privacy Policy
- Sections of these Terms that by their nature should survive termination will continue to apply (including Sections 5.2, 6, 10, 13, 14, and 15)
13. Disclaimers
13.1 "As Is" Basis
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
13.2 No Guarantee of Availability
We do not guarantee that the Service will be uninterrupted, secure, error-free, or available at any particular time. We may modify, suspend, or discontinue the Service (or any part thereof) at any time without notice.
13.3 Third-Party Services
We are not responsible for the availability, accuracy, or reliability of any third-party services integrated with the Service, including Apple HealthKit, Health Connect, or any other third-party platform.
14. Limitation of Liability
14.1 General Limitation
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE WELLSPRING APP LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, or business opportunities
- Any personal injury or property damage arising from your use of the Service
- Any unauthorised access to or alteration of your data
- Any errors, inaccuracies, or omissions in the Service
14.2 Maximum Liability
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO WELLSPRING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED POUNDS STERLING (£100), WHICHEVER IS GREATER.
14.3 Exceptions
Nothing in these Terms limits or excludes our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded or limited by applicable law
15. Indemnification
You agree to indemnify, defend, and hold harmless The Wellspring App Ltd and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of a third party
- Any User Content you submit through the Service
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
16.2 Dispute Resolution
Any dispute arising from or relating to these Terms or the Service shall be resolved as follows:

Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at support@thewellspringapp.com. We will try to resolve the dispute within 30 days.

Mediation: If the dispute is not resolved informally, either party may propose mediation through a mutually agreed mediator.

Courts: If mediation fails or is not pursued, the courts of England and Wales shall have exclusive jurisdiction to settle the dispute.
16.3 Consumer Rights
If you are a consumer, nothing in these Terms affects your statutory rights under applicable consumer protection laws. You may also be entitled to bring proceedings in the courts of your country of residence.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting the updated Terms within the app
- Updating the "Last Updated" date at the top of these Terms
- Sending you a notification for significant changes
Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wellspring regarding the Service, superseding any prior agreements.
18.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
18.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
18.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
18.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights, except as expressly stated herein.
18.6 Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemic, strikes, or failures of third-party services.
19. Open-Source Software
The Service may include open-source software components. The use of these components is subject to their respective open-source licences, which may be viewed within the app or upon request.
